Terms of Service

These Terms of Service (“Terms”) are between you and Medwell Solutions(“Medwell Engage,” “we,” “us”). They govern your use of the Medwell Engage website and platform (the “Service”).

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.

1. Eligibility

You must be at least 13 years old to create an account. If you're between 13 and 17 you must have permission from a parent or legal guardian. The Service is intended for residents of the United States.

By signing up you confirm that all information you provide is accurate and that you have the right and authority to accept these Terms.

2. Your account

  • Keep your login credentials secure. You're responsible for activity that happens under your account.
  • Use accurate information when signing up — name, email, and any optional profile fields you choose to provide.
  • Don't create multiple accounts to game points, volunteer recognition, or leaderboard rankings.
  • Tell us right away if you think your account has been accessed without your permission.

3. Acceptable use

You agree NOT to:

  • Use the Service for any unlawful, fraudulent, or harmful purpose.
  • Harass, threaten, defame, or impersonate any other user, organizer, or third party.
  • Upload content that infringes intellectual-property rights or contains malware.
  • Attempt to gain unauthorized access to any account, system, or data; probe for vulnerabilities; reverse-engineer the Service; or scrape it at scale.
  • Falsely claim attendance, check-ins, or volunteer hours.
  • Use the Service to send spam or unsolicited messages.
  • Use the Service for commercial purposes without our prior written consent (organizing community-health activities as an organization partner is welcomed — contact us).

We can suspend or terminate accounts that violate these rules, at our discretion.

4. Content you provide

You keep ownership of everything you upload — your profile photo, activity images, descriptions, and submitted activity reports. By uploading, you grant us a worldwide, royalty-free, non-exclusive license to host, store, display, and use that content as needed to run the Service (for example, displaying your profile photo to other users, showing an activity's cover image on its detail page, including your name on the leaderboard).

You're responsible for making sure you have the rights to anything you upload. Don't upload other people's photos without permission.

5. Activities, attendance, and points

Activities posted on the Service are organized by independent organizations or individuals. Medwell Engage is a platform — we don't organize, supervise, vet, or insure activities ourselves. Showing up to any activity is at your own discretion and risk.

Points, badges, and leaderboard rankings have no monetary value. They're recognition for your participation, not a debt or refundable balance. We can adjust, recalculate, or remove points if we detect fraud, error, or system issues.

6. Communications

By creating an account you agree to receive transactional emails related to your activity (registration confirmations, reminders, cancellation notices, password resets, email verification). You can opt out of non-transactional emails (day-before reminders, organizer updates) via the unsubscribe page.

7. Service availability and changes

We can change, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We aim for good uptime and reasonable performance but we don't guarantee the Service will be uninterrupted, secure, or error-free.

We can update these Terms over time. We'll update the “Last updated” date and, for material changes, notify you by email or in-app notice. Continued use after the change means you accept the new Terms.

8. Termination

You can delete your account at any time by emailing privacy@medwellsolutions.com. We can suspend or terminate your account if you violate these Terms, if we're required by law, or to protect the Service and other users. On termination, your right to use the Service ends; sections of these Terms that should survive termination (liability, indemnification, governing law) will continue to apply.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

In plain terms: we're building this in good faith but we can't promise it always works perfectly. Use it at your own risk.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MEDWELL SOLUTIONS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100) — OR, IF GREATER, THE AMOUNT YOU'VE PAID US IN THE PAST 12 MONTHS (WHICH FOR A FREE SERVICE IS $0).

11. Indemnification

You agree to indemnify and hold harmless Medwell Solutions and its affiliates from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party right.

12. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of those courts.

13. Miscellaneous

  • These Terms (together with our Privacy Policy) are the entire agreement between you and us about the Service.
  • If any provision is found unenforceable, the rest of the Terms still apply.
  • Our failure to enforce a provision isn't a waiver of that provision.
  • You can't transfer your rights under these Terms without our consent. We can transfer ours (e.g. in an acquisition) without restriction.
